Terms and Conditions of Sale
1. Definitions
In these Terms and Conditions:

Company means Premier Insulated Panels Pty Ltd.

Customer means the person or entity purchasing goods from Premier Insulated Panels Pty Ltd.

Goods means insulated panels and any related products supplied by Premier Insulated Panels Pty Ltd.

Order means a request for Goods placed by the Customer and accepted by Premier Insulated Panels Pty Ltd.
-
Specifications means all information provided by the Customer, including measurements, quantities, drawings, loadings, spans, profiles, finishes, and intended use.
2. Application of Terms
These Terms and Conditions apply to all quotations, Orders, and supply of Goods by Premier Insulated Panels Pty Ltd and prevail over any terms proposed by the Customer unless expressly agreed in writing by Premier Insulated Panels Pty Ltd.
By placing an Order, the Customer acknowledges that they have read, understood, and agreed to these Terms and Conditions.
3. Quotations
Any quotation provided by Premier Insulated Panels Pty Ltd is based on the Specifications supplied by the Customer and is valid for the period stated in the quotation (or, if not stated, 14 days).
Quotations are subject to change if Specifications are amended or found to be incomplete or inaccurate.
4. Customer Specifications & Responsibility
All Goods are manufactured to order based solely on the Specifications provided by the Customer.
While Premier Insulated Panels Pty Ltd may provide general product information or guidance where requested, Premier Insulated Panels Pty Ltd:
-
does not provide design, engineering, certification, or compliance services; and
-
does not verify the accuracy, completeness, or suitability of Customer Specifications.
The Customer is solely responsible for ensuring that:
-
all Specifications are correct and complete;
-
the Goods are suitable for their intended purpose;
-
all site conditions, loadings, tolerances, and regulatory requirements are met.
5. Order Acceptance & Approval
An Order is only binding once accepted by Premier Insulated Panels Pty Ltd in writing.
Prior to manufacture, the Customer may be required to review and approve final Specifications. Approval constitutes confirmation that all details are correct and authorised for production.
6. Custom-Made Goods
The Customer acknowledges that the Goods are custom made within the meaning of the Australian Consumer Law.
Once manufacture has commenced, or the Goods have been delivered:
-
Orders cannot be cancelled or varied;
-
Goods cannot be returned, exchanged, or refunded due to change of mind, incorrect Specifications, or revised requirements.
7. Pricing & Payment
Prices are exclusive of GST unless stated otherwise.
Payment terms are as stated on the invoice. Premier Insulated Panels Pty Ltd reserves the right to suspend manufacture or delivery if payment is not made in accordance with agreed terms.
8. Delivery & Risk
Delivery dates are estimates only.
Risk in the Goods passes to the Customer upon delivery. The Customer must inspect Goods on delivery and notify Premier Insulated Panels Pty Ltd of any visible damage or shortages within 48 hours.
9. Defects & Australian Consumer Law
Nothing in these Terms excludes, restricts, or modifies any rights or remedies available to consumers under the Australian Consumer Law.
To the extent permitted by law, Premier Insulated Panels Pty Ltd’s liability for breach of any non-excludable consumer guarantee is limited, at Premier Insulated Panels Pty Ltd’s option, to:

replacement of the Goods; or
-
repair of the Goods; or
-
refund of the cost of the Goods.
This clause does not apply where the issue arises from incorrect or incomplete Customer Specifications.
10. Limitation of Liability
To the maximum extent permitted by law, Premier Insulated Panels Pty Ltd is not liable for:
-
loss arising from incorrect or incomplete Specifications supplied by the Customer;
-
consequential or indirect loss, including loss of profit, delay costs, or installation costs;
-
Goods being unsuitable for a purpose not expressly stated and confirmed in writing.
11. Force Majeure
Premier Insulated Panels Pty Ltd is not liable for delays or failure to perform due to events beyond its reasonable control, including supply chain disruptions, labour shortages, or acts of God.
12. Governing Law
These Terms and Conditions are governed by the laws of the State or Territory in which Premier Insulated Panels Pty Ltd operates, and the parties submit to the jurisdiction of its courts.
13. Entire Agreement
These Terms constitute the entire agreement between the parties relating to the supply of Goods and supersede all prior representations or agreements.
